Groom Terms and Conditions

1. Acceptance of Terms

By accessing or using the Groom mobile application ("App") and the services provided therein (collectively, the "Services"), you ("User," "you," or "your") agree to be bound by these Terms and Conditions ("Terms"). These Terms constitute a legally binding agreement between you and Groom LLC ("Groom," "we," "us," or "our"), a LLC located in Las Vegas, NV.

2. Description of Services

Groom is a platform that connects clients ("Clients") seeking grooming services with independent grooming service providers ("Providers"). Clients can post service requests, view provider profiles and reviews, chat with providers, and book services. Providers can review service requests, submit bids, manage their profiles, and communicate with clients. Groom's role is solely to facilitate these connections and transactions; we are not the provider of the grooming services themselves.

3. User Accounts

• Eligibility: You must be at least 18 years of age to use the Services. By creating an account, you represent and warrant that you meet this requirement.
• Account Creation: To use certain features of the Services, you may need to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
• Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Groom immediately of any unauthorized access to or use of your account.
• Account Termination: Groom reserves the right to suspend or terminate your account at any time, with or without cause, and without prior notice.

4. Client Terms

• Service Requests: Clients can post detailed service requests outlining their desired grooming services. You are responsible for the accuracy and completeness of your service requests.
• Provider Selection: You are solely responsible for selecting a Provider based on their profile, reviews, ratings, and communication. Groom does not endorse or guarantee the quality of any Provider's services.
• Booking and Payment: When you book a service through the App, you agree to pay the fees displayed. Payment processing is facilitated through a third-party payment processor. You authorize Groom to charge your chosen payment method for the total amount of the booking.
• Cancellations and Refunds: Cancellation policies are determined by the individual Providers. You are responsible for reviewing and understanding the Provider's cancellation policy before booking. Refund policies, if any, will be determined by the Provider and are subject to Groom's dispute resolution process (if applicable).
• Communication with Providers: The App facilitates direct communication between Clients and Providers. You agree to communicate respectfully and professionally.

5. Provider Terms

• Provider Profiles: You are responsible for the accuracy and completeness of your Provider profile, including your qualifications, experience, services offered, pricing, availability, and portfolio.
• Responding to Service Requests: You can review service requests posted by Clients and submit bids for providing the requested services.
• Service Delivery: You are solely responsible for providing the grooming services to Clients in a professional, safe, and competent manner.
• Pricing and Payments: You are responsible for setting your own pricing for the services you offer. Groom will facilitate payment processing from Clients to you, subject to a commission fee as outlined in a separate agreement.
• Cancellations and Rescheduling: You are responsible for managing your schedule and communicating any cancellations or rescheduling to Clients in a timely manner, in accordance with your stated policies.
• Communication with Clients: The App facilitates direct communication between Providers and Clients. You agree to communicate respectfully and professionally.
• Independence: You acknowledge and agree that you are an independent service provider and not an employee, agent, joint venturer, or partner of Groom. You are solely responsible for all taxes, insurance, and other obligations related to your provision of services.

6. User Conduct

You agree not to:

• Use the Services for any illegal or unauthorized purpose.
• Violate any applicable laws or regulations.
• Infringe upon the intellectual property rights of Groom or any third party.
• Upload, post, transmit, or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
• Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.
• Interfere with or disrupt the operation of the Services or servers or networks connected to the Services.
• Use any robot, spider, scraper, or other automated means to access the Services for any purpose without our express written permission.
• Engage in any conduct that could damage, disable, overburden, or impair the Services.
• Circumvent or attempt to circumvent any security or access control measures of the Services.
• Solicit or attempt to solicit users to leave the Groom platform.

7. Intellectual Property

The App and its original content, features, and functionality (including but not limited to text, graphics, logos, images, software) are and will remain the exclusive property of Groom and its licensors and are protected by copyright, trademark, and other laws. You may not use Groom's trademarks, logos, or other proprietary graphics without our express written consent.

8. Third-Party Links and Services

The Services may contain links to third-party websites or services that are not owned or controlled by Groom. Groom has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that Groom shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such third-party websites or services.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. GROOM DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. GROOM DOES NOT WARRANT THE QUALITY, SUITABILITY, RELIABILITY, TIMELINESS, COMPLETENESS, OR ACCURACY OF ANY SERVICES PROVIDED BY PROVIDERS OR ANY CONTENT AVAILABLE THROUGH THE SERVICES. YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GROOM, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICES, EVEN IF GROOM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL GROOM'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID TO GROOM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) FIFTY U.S. DOLLARS ($50). THE FOREGOING LIMITATIONS SHALL APPLY EVEN IF THE ABOVE STATED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

11. Indemnification

You agree to indemnify, defend, and hold harmless Groom, its affiliates, directors, officers, employees, agents, suppliers, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your use of the Services, your violation of these Terms, or your interaction with any other User.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Services shall be exclusively resolved in the state or federal courts located in Las Vegas, NV. You consent to the personal jurisdiction of such courts.

13. Changes to These Terms

Groom reserves the right to modify or revise these Terms at any time, without prior notice. Any changes will be effective immediately upon posting the revised Terms within the App. Your continued use of the Services after the posting of revised Terms constitutes your acceptance of such changes. It is your responsibility to review these Terms periodically for any updates.

14. Entire Agreement

These Terms constitute the entire agreement between you and Groom regarding your use of the Services and supersede all prior and contemporaneous understandings and agreements, whether written or oral.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

16. Waiver

No waiver of any provision of these Terms shall be effective unless explicitly set forth in writing and signed by Groom.
